You are an excellent communicator who enjoys collaborating with others.  Above all, you want to build something that fundamentally changes the lives of families for the better.  HopSkipDrive’s Legal team seeks a highly organized and detail-oriented Counsel, Commercial Affaris to join our dynamic team. As a Counsel, Commercial Affairs you will negotiate complex commercial contracts, related to Saas offerings, including customer and vendor agreements, RFP's, and bespoke agreements tailored to our business needs. 

What you’ll do:

  • Develop and refine contract templates, forms, and playbooks to streamline the contracting process, ensuring alignment with our rapid growth and dynamic market requirements.
  • Proficient in reviewing, redlining, and negotiating various data privacy agreements, ensuring compliance with data protection and data security laws.
  • Assist with governance and corporate support for the organization’s corporate transactions.
  • Support the management of company shared capital and handle the filing and disclosure of corporate documents and reports with regulators.
  • Collaborate closely with the sales team to facilitate customer-facing negotiations, balancing legal risks with business objectives to drive successful outcomes.
  • Manage day-to-day tasks associated with the company’s insurance portfolio.
  • Provide leadership and guidance to members of the Legal Team, promoting a culture of excellence and collaborative problem-solving.
  • Stay abreast of relevant regulations, industry standards, and compliance requirements.

What you'll bring:

  • A Juris Doctorate from an accredited law school and admission to the bar in your jurisdiction.
  • A minimum of 10+ years of legal experience, with a preference for candidates who have worked in-house for a SaaS/technology company for at least 3 years.
  • Demonstrated expertise in B2B commercial agreements.
  • Excellent communication skills, with the ability to articulate complex legal concepts to a diverse audience.
  • Strong emotional intelligence, client-service orientation, and the ability to thrive under pressure in a fast-paced environment.
  • Solid understanding of contract management systems, with a strong preference for candidates with Irocland expertise.

Nice to have and strongly preferred:

  • Adept understanding of contracting in a highly regulated industry, particularly the transportation network company space and/or the EdTech space.
  • Experience participating in the contracting process with governmental entities.
  • CIPP certification highly preferred

HopSkipDrive is committed to fair and equitable compensation practices. The salary range for this role in is $140,000 to $160,000. This position is remote and, as such, compensation will ultimately be in line with the location in which the position is filled. Final compensation for this role will be determined by several factors such as a candidate’s relevant work experience, skill set, certifications, and specific work location. The total compensation package for this role also includes equity stock options.
