Associate General Counsel

The Associate General Counsel at Infinite Reality, Inc. (the “Company”) will report to the Deputy General Counsel of the Company and be part of the Company’s growing legal team.


Responsibilities:

  • Draft, review, and negotiate private equity documents (including convertible notes, warrants, and stock options), mergers and acquisitions documents, financing documents, and commercial agreements.
  • Manage and oversee the legal function of the Company’s cap table on Carta.
  • Work closely with the General Counsel of the Company, the CEO of the Company, Chief Investment and Strategy Officer of the Company, and the COO of the Company on the most pressing legal matters of the Company.
  • Work with the Deputy General Counsels of the Company on day-to-day legal matters involving the Company’s business.
  • Upon the Company becoming a publicly-traded company, lead SEC reporting including with respect to quarterly and annual reporting, and disclosure matters.
  • Prepare materials related to meetings of the Board of Directors of the Company.
  • Provide practical legal advice and support across a range of business functions.

Requirements

The successful candidate must be able to take on significant responsibility and handle an extremely high-volume workload in a fast-paced environment. The successful candidate will have the capacity to provide and balance practical and business-focused advice to meet the needs and demands of a high growth company with appropriate legal and compliance risk management.


  • Juris Doctor Degree from an accredited law school with top academic credentials, be a member of a state bar, and have high integrity.
  • 6 - 15 years of legal experience including experience in a corporate legal department at a large law firm.
  • Extensive experience with private equity transactions, securities laws, mergers and acquisitions, bank finance, and managing a company’s cap table on Carta.
  • In-house legal experience preferred, but not required. Strong analytical, drafting, communication, and negotiating skills are required.
